AGREEMENT TO LEGAL TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement made between you (“you”) and NOX Devices, Inc. (“we,” “us,” “our”), concerning your access to and use of RPLY (“RPLY” or the “Service”). RPLY is an external iMessage client designed to streamline and enhance the messaging experience without replacing Apple's native iMessage functionality.

By accessing or using RPLY, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use RPLY.

We reserve the right to modify these Terms at any time. We will notify you of changes by updating the “Last updated” date above. Your continued use of RPLY after changes have been posted constitutes acceptance of the modified Terms.

OUR SERVICES

RPLY operates as a layer on top of Apple's iMessage service. It is not a standalone messaging platform. To use RPLY, you must comply with Apple's terms governing iMessage and iOS. RPLY's functionalities and availability depend on Apple's ecosystem. We make no guarantees that RPLY will remain compatible or functional should Apple's underlying services or policies change.

RPLY is intended for users at least 18 years old. By using RPLY, you represent that you are at least 18.

ACCOUNT REGISTRATION AND SECURITY

You may be required to register an account to access certain features of RPLY. You agree to provide accurate, current, and complete information and to keep this information updated. You are responsible for the security of your account login credentials. We reserve the right to refuse registration or terminate accounts at our sole discretion.

PAYMENTS AND SUBSCRIPTIONS

Certain features of RPLY may be offered on a paid subscription or one-time purchase basis, processed through Stripe. By submitting payment information, you authorize us to charge the applicable fees to your chosen payment method. Prices and payment terms are displayed at the time of purchase, and we reserve the right to change prices at any time. If you cancel a subscription, you will retain access until the current paid term ends, and no refunds will be issued unless otherwise stated.

USER CONDUCT AND PROHIBITED ACTIVITIES

You agree to use RPLY only for lawful purposes and in compliance with these Terms. You must not:

• Use RPLY to send harassing, threatening, obscene, defamatory, or otherwise unlawful messages.
• Use RPLY to violate the rights of others, including intellectual property, privacy, or publicity rights.
• Attempt to reverse engineer, modify, or interfere with RPLY's operation or security features.
• Use automated tools (bots, scrapers) to access or collect information from RPLY without authorization.
• Circumvent any measures designed to prevent unauthorized access to RPLY.
• Engage in any activity that disrupts or harms RPLY, our infrastructure, or our users.

We may terminate or limit your access to RPLY at any time if we determine you are violating these Terms or any applicable laws.

INTELLECTUAL PROPERTY RIGHTS

All content, trademarks, logos, and intellectual property associated with RPLY are owned by or licensed to NOX Devices, Inc. You receive no ownership interest or license to use our intellectual property beyond the limited, revocable license to use RPLY as provided in these Terms. You agree not to copy, reproduce, distribute, or create derivative works of RPLY or its content without our express written permission.

PRIVACY

Your use of RPLY is subject to our Privacy Policy. By using RPLY, you acknowledge that you have reviewed the Privacy Policy and agree to its terms. We take steps to protect your data, and RPLY may offer a local-only mode where no text data leaves your device. However, use of advanced features or integrations may require some limited data processing. For details, review our Privacy Policy.
