Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “your”) and NOX Devices, Inc. (“NOX,” “we,” “us,” or “our”), governing your access to and use of NOX (“NOX” or the “Service”).

By accessing or using NOX, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use NOX.

We may update these Terms from time to time. For material changes we will provide notice via email or in-app notification at least 30 days before the changes take effect. Your continued use of NOX after the effective date constitutes acceptance of the updated Terms.

NOX is a unified messaging application for macOS that brings together conversations from iMessage, WhatsApp, Slack, email, and other messaging platforms into a single inbox. NOX also includes AI-powered features such as draft reply suggestions, semantic search, and message triage.

NOX is not a replacement for any native messaging application. It operates alongside existing messaging services and depends on those services' continued availability and API access. We do not control and cannot guarantee uninterrupted access to any third-party platform.

NOX is intended for users who are at least 18 years old. By using NOX, you represent that you meet this age requirement.

NOX integrates with third-party services including but not limited to Apple iMessage, WhatsApp, Slack, Gmail, and other email and messaging providers. Your use of these integrations is subject to each platform's own terms of service and privacy policies, which you are responsible for reviewing and complying with.

We are not responsible for changes, interruptions, or restrictions imposed by third-party platforms that affect NOX's functionality. If a third-party platform revokes or limits API access, certain features of NOX may become unavailable without notice, and we shall not be liable for any resulting loss.

When you connect a third-party account to NOX, you authorise us to access that account on your behalf within the permissions you grant. You may revoke access at any time through NOX's settings or through the third-party platform directly.

NOX uses artificial intelligence to provide features such as draft reply suggestions, message summarisation, semantic search, and intelligent triage. These features are designed to assist you, not to act on your behalf.

AI-generated content is not guaranteed to be accurate, appropriate, or complete. You are solely responsible for reviewing, editing, and approving any AI-suggested content before sending it. NOX is not liable for any consequences arising from messages you choose to send, whether or not they were suggested by NOX's AI features.

We do not use your personal messages to train AI models. For details on how your data is processed by AI features, please see our Privacy Policy.

You may need to create an account to access certain features of NOX. You agree to provide accurate and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must notify us immediately at team@heynox.com if you suspect unauthorised access to your account. We reserve the right to suspend or terminate accounts at our discretion, including for suspected violations of these Terms.

NOX is available under the following plans:

• Free: Core unified inbox features at no cost. We reserve the right to modify or discontinue the free plan with 30 days' notice.
• Pro ($30/month): Full access to all features, including advanced AI capabilities. Billed monthly or annually through Stripe.
• Enterprise: Custom pricing and terms for organisations. Enterprise agreements may include additional terms that supplement or supersede portions of these Terms.

By subscribing to a paid plan, you authorise us to charge your chosen payment method for the applicable fees. Subscriptions renew automatically at the end of each billing cycle unless you cancel before the renewal date.

We may change our pricing with at least 30 days' advance notice. Price changes will apply to the next billing cycle following the notice period, not to the current paid term.

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

We want you to be satisfied with NOX. If you are unhappy with the Service, you may request a refund within 30 days of your most recent payment by emailing team@heynox.com. We review refund requests in good faith and on a case-by-case basis. Refunds, when issued, will be processed to the original payment method.

Nothing in this section limits any refund rights you may have under applicable consumer protection laws in your jurisdiction.

You agree to use NOX lawfully and in compliance with these Terms. You must not:

• Use NOX to send harassing, threatening, defamatory, or otherwise unlawful messages.
• Violate the rights of others, including intellectual property, privacy, or publicity rights.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of NOX.
• Use automated tools to access or scrape data from NOX without our written permission.
• Interfere with or disrupt NOX's infrastructure, security, or other users' experience.
• Violate the terms of any third-party platform accessed through NOX.

We may suspend or terminate your access to NOX at any time if we reasonably determine you are in violation of these Terms.

All content, trademarks, logos, and software associated with NOX are owned by or licensed to NOX Devices, Inc. We grant you a limited, non-exclusive, non-transferable, revocable licence to use NOX in accordance with these Terms.

You may not copy, modify, distribute, sell, or create derivative works based on NOX or its content without our prior written consent.

You retain ownership of the content in your messages. By using NOX, you grant us a limited licence to process your content solely as necessary to provide and improve the Service, as described in our Privacy Policy.

Your use of NOX is governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using NOX, you consent to the practices described in the Privacy Policy.

NOX is designed with privacy in mind. Where possible, message data is processed locally on your device. Certain features may require server-side processing, our Privacy Policy details which features and what data is involved.

NOX is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, NOX disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that NOX will be uninterrupted, error-free, secure, or compatible with all devices, operating systems, or third-party services. We do not warrant the accuracy or reliability of any AI-generated content.

To the maximum extent permitted by applicable law, NOX Devices, Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of (or inability to use) NOX, regardless of the theory of liability.

Our total aggregate liability for all claims arising from or related to these Terms or NOX shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless NOX Devices, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of NOX; (b) your violation of these Terms; (c) your violation of any third-party rights or applicable laws; or (d) content you send or transmit through NOX.

You may stop using NOX and close your account at any time. We may suspend or terminate your account if we reasonably believe you have violated these Terms, with or without prior notice depending on the severity of the violation.

Upon termination, your right to use NOX ceases immediately. We will retain your data for a reasonable period as described in our Privacy Policy, after which it will be deleted. You may request deletion of your data at any time by emailing team@heynox.com.

The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising out of or related to these Terms or NOX shall first be attempted to be resolved through good-faith negotiation. If the dispute is not resolved within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution will be conducted solely on an individual basis, and not as a class, consolidated, or representative action.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

Entire Agreement. These Terms, together with our Privacy Policy and any applicable Enterprise agreement, constitute the entire agreement between you and NOX regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

Force Majeure. NOX shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, third-party service disruptions, government actions, or changes to third-party platform policies.
